Musii – Terms of Use

Welcome to Musii! By accessing or using the Musii application (the “App”) and any related services (collectively, the “Services”), you agree to be bound by these Terms of Use (“Terms”). Please read them carefully.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you (“User” or “you”) and Musii UK(“Musii,” “we,” “us,” or “our”) regarding your use of the Services. By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. User Accounts
- Eligibility: You must be at least 13 years of age to create an account and use the Services. By creating an account, you represent and warrant that you meet this age requirement.
- Account Creation: You may need to create an account to access certain features of the Services. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
- Account Security: You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to notify Musii immediately of any unauthorized access to or use of your account. Musii will not be liable for any loss or damage arising from your failure to comply with this section.
- Account Suspension/Termination: Musii reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to a violation of these Terms.
3. User Content
- Definition: “User Content” includes any text, photos, videos, audio (including music), and other content that you upload, post, share, or otherwise make available through the Services.
- Ownership: You retain ownership of your User Content. However, by submitting User Content to the Services, you grant Musii a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sub-licensable, and transferable license to use, host, store, reproduce, modify, create derivative works of, communicate, publish, publicly perform, publicly display, and distribute such User Content in connection with the operation and provision of the Services.
- Responsibility for User Content: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that your User Content does not and will not:
- Infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right.
- Contain defamatory, libelous, obscene, harassing, threatening, abusive, hateful, or otherwise objectionable content.
- Violate any applicable law or regulation.
- Contain viruses, malware, or other harmful code.
- Be false, misleading, or deceptive.
- Content Moderation: Musii reserves the right, but has no obligation, to monitor, review, edit, remove, or refuse to post any User Content at its sole discretion, without notice and for any reason.
4. Prohibited Conduct
You agree not to engage in any of the following prohibited conduct in connection with your use of the Services:
- Violating any applicable law or regulation.
- Infringing upon the intellectual property rights of Musii or any third party.
- Impersonating any person or entity or misrepresenting your affiliation with any person or entity.
- Collecting or soliciting personal information from other users without their consent.
- Using the Services for any unauthorized commercial purpose, including advertising or solicitation, without Musii’s express written consent.
- Interfering with or disrupting the operation of the Services or the servers or networks used to make the Services available.
- Attempting to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services.
- Transmitting any viruses, worms, malware, or other harmful code.
- Using any robot, spider, scraper, or other automated means to access the Services for any purpose without Musii’s express written permission.
- Engaging in any conduct that restricts or inhibits any other user from using or enjoying the Services.
- Promoting violence, discrimination, or hatred based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
5. Intellectual Property
- Musii Content: The Services and their original content (excluding User Content), features, and functionality are and will remain the exclusive property of Musii and its licensors. This includes, but is not limited to, the Musii name, logo, design, and software. These are protected by copyright, trademark, and other laws.
- Limited License: Musii grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use in accordance with these Terms.
6. Third-Party Content and Links
The Services may contain links to third-party websites or services, and may display content from third parties, including information about events, venues, and artists. Musii does not endorse or assume any responsibility for any third-party websites, services, or content. Your interactions with third parties are solely between you and the third party.
7. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. MUSII DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MUSII, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF MUSII HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MUSII’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO MUSII, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED POUNDS (£100), WHICHEVER IS GREATER.
9. Indemnification
You agree to indemnify, defend, and hold harmless Musii, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of or access to the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to These Terms
Musii reserves the right to modify or update these Terms at any time. We will provide notice of any material changes, such as by posting the updated Terms within the App or on our website. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for any changes.
12. Termination
Musii may terminate these Terms and your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. You may also terminate your account at any time by following the instructions within the App. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Entire Agreement
These Terms constitute the entire agreement between you and Musii regarding your use of the Services and supersede all prior and contemporaneous agreements, understandings, representations, and warranties, whether oral or written.
